Terms of Service

The agreement between your organization and Cadentia AI. Written to be read.

1. The agreement

These terms govern your use of Cadentia AI (“Cadentia”, “we”, “us”), a hosted one-on-one and leadership-cadence platform operated by Cadentia AI. By creating an account or using the service you agree to them on behalf of yourself and the organization you represent, and you confirm you are authorised to do so.

“Workspace” means the organization account created at sign-up. “Administrator” means a user with admin access in that workspace. “Content” means everything you and your users put into Cadentia — people records, templates, agendas, answers, notes and action items.

2. Your account

You are responsible for the accuracy of the information you provide, for keeping credentials confidential, and for the activity of everyone you invite. Administrators can add, deactivate and change the access level of users in their workspace; deactivating a user removes their access immediately.

Accounts are for named individuals. Sharing one login between multiple people is not permitted, both because it breaks the privacy model and because seats are how the service is priced.

You must be at least 18 and use Cadentia for work purposes within an organization. It is not a consumer product and is not intended for anyone under 16.

3. Acceptable use

You agree not to: use Cadentia to monitor people covertly or in breach of local employment law; upload unlawful, harassing or infringing content; attempt to access another workspace's data; probe, scan or load-test the service without written permission; resell or white-label the service; or use it to build a competing product.

Cadentia is designed so that leadership sees cadence and structure rather than conversation content. Attempting to defeat that design — for example by requiring employees to surrender their notes — is a breach of these terms.

4. Your data

Your content is yours. We do not sell it, we do not use it to train models, and we do not share it with third parties except the sub-processors needed to run the service (listed in our Privacy Policy).

You grant us the limited licence needed to host, transmit, back up and display your content in order to provide the service to you. Administrators can export people, sessions, answers and departments as CSV at any time, including after cancellation.

Access inside a workspace follows the model described on our product pages: conversation content is visible to the two participants and to anyone they have explicitly shared it with; leadership sees cadence, completion and commitment metrics.

5. Fees and billing

The first four seats in a workspace are free indefinitely, with unlimited one-on-ones. Beyond four seats, Cadentia is billed per seat per month at the rate published on our pricing page. Monthly is currently the only self-serve term; annual arrangements are available by agreement.

An invited user occupies a seat from the moment the invitation is sent. Seats added mid-month are prorated. Seat reductions take effect at the start of the next monthly term — access ends immediately on deactivation, but the seat remains billed until renewal.

Payment is processed through Rippling, so accepted payment methods are those your organization has enabled there. Failed payments are retried over 14 days; workspaces unpaid after that are suspended, and data is retained for 60 days before deletion.

Monthly subscriptions are not refundable. We give at least 60 days' notice before any price change, and price changes never apply mid-month. Taxes are your responsibility where we are required to collect and remit them.

6. AI features

AI features operate on an API key that your administrator supplies for a third-party provider (currently Anthropic or OpenAI). That usage is governed by your agreement with that provider and billed to you by them, not by us.

AI output is a draft. It is labelled as AI-drafted and requires human confirmation. You should not rely on it as the sole basis for an employment decision, and we make no warranty as to its accuracy.

7. Availability and support

We aim for high availability but do not offer a contractual uptime guarantee on self-serve plans. We may perform maintenance, and will avoid business hours where we reasonably can. Support is provided by email at support@cadentiaai.com, normally within one business day.

8. Cancellation and termination

You may cancel at any time from Settings. Your workspace remains active until the end of the paid month, then becomes read-only for 30 days so you can export your data, after which it may be deleted.

We may suspend or terminate a workspace that materially breaches these terms, fails to pay, or uses the service in a way that endangers other customers — with notice where circumstances allow.

9. Warranties, liability and indemnity

Cadentia is provided “as is”. To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or lost data, and our total aggregate liability is limited to the fees you paid us in the twelve months before the claim arose.

You will indemnify us against third-party claims arising from your content or your use of Cadentia in breach of these terms or of applicable employment or privacy law.

10. Changes, governing law and contact

We may update these terms; material changes will be notified in-app or by email at least 30 days before they take effect, and continuing to use the service after that constitutes acceptance. These terms are governed by the laws of the State of Utah, USA, and the parties submit to the courts located there.
